HOW A NON-EUROPEAN UNION FOREIGNER CAN SET UP A COMPANY

 

Foreigners from outside the European Union can usually set up a company after obtaining the appropriate permit.

There are exceptions to this rule.

The first exception is to conduct business in the form of a limited partnership, limited joint-stock partnership, limited liability company and joint-stock company, as well as to join such companies and to subscribe for or acquire their shares or stocks, unless international agreements provide otherwise.

The above means that establishing a limited liability company or acquiring shares in an already existing company, e.g., a limited liability company, is allowed for any foreigner regardless of which country he comes from.

However, already managing such a company from the territory of Poland as the chairman of the board of directors may require a foreigner to have an additional permit in the form of an appropriate visa or an appropriate residence permit.

Our lawyers will suggest in what cases it will be possible to manage such a company without an additional permit or how to obtain the appropriate permits. Another possibility for a non-EU foreigner to set up a business is to have the appropriate status or residence permit. These include foreigners who:

  1. have in the Republic of Poland:

      a) a permanent residence permit,

      b) a residence permit for a long-term resident of the European Union,

      c) a temporary residence permit granted due to the circumstances referred to in Article 144, Article 159 (1) or Article 186 (1) (3) and (4) of the Law on Foreigners of December 12, 2013 (Journal of Laws of 2017, items 2206 and 2282, and 2018, items 107 and 138),

      d) refugee status,

      e) subsidiary protection,

      f) permission to stay for humanitarian reasons or permission for tolerated stay,

      g) temporary residence permit and are married to a Polish citizen residing in the territory of the Republic of Poland,

      h) a temporary residence permit for the purpose of carrying out economic activity, granted due to the continuation of economic activity already carried out on the basis of an entry in the Central Register and Information on Economic Activity;


  2. enjoy temporary protection in the Republic of Poland,
  3. have a valid Card of the Pole,
  4. are family members, within the meaning of Article 2(4) of the Act of July 14, 2006 on the entry into, residence in and departure from the territory of the Republic of Poland of citizens of the Member States of the European Union and members of their families (Journal of Laws of 2017, item 900 and of 2018, item ...), joining or staying with citizens of the countries referred to in paragraph 1,
  5. residing in the territory of the Republic of Poland on the basis of Article 108 (1) (2) or Article 206 (1) (2) of the Law on Foreigners of December 12, 2013, or on the basis of the stamp imprint placed in the travel document, which confirms the submission of an application for a long-term resident's residence permit of the European Union, if immediately prior to the submission of the application they were authorized to undertake and carry out economic activity on the basis of paragraph 2 (1) (c) and (g)
